	                           Client Agreement

1.	General Information

1.1 This Client Agreement (hereinafter referred to as the “Agreement”) defines the procedure, terms and conditions of services with High Street Networking Ltd. (hereinafter referred to as the “Company”) and private customer (hereinafter referred to as the “Client”).

1.2 High Street Networking Ltd is registered at 103 Sham Peng Tong Plaza, Victoria, Mahe, Seychelles Number 100348.

1.3 This Client Agreement supersedes any previous agreements between the Company and the Client on the same subject matter.

1.4 This Client Agreement takes effect when you signify your acceptance of this Client Agreement by executing the Client Account Application in consideration for the services we provide including the provision of market and price information on Instruments which we trade. 
By signing the Client Account Application you confirm that you have read, understood and agree to be bound by this Agreement between the Client and the Company with all its Appendixes, as well as prepared to accept the risks outlined in Risk disclosure.

1.5 The Company deals with the Client as principal unless it informs the Client that it is dealing with the Client as agent generally or with respect to any Transaction or class of Transactions.

1.6 All documents are available in English.  If a document is translated into another language this will be for information purposes only and the English version will prevail.

1.7 Any time or deadlines referred to in this Client Agreement and its appendixes, whether by reference to specific hours or otherwise, is based on local time in London, UK.

1.8 The Client acknowledges that forex contracts are not traded on or guaranteed by a regulated exchange or its clearinghouse and accordingly, acknowledges that trading in forex contracts is not subject to the same regulatory or financial protections as is trading in futures contracts.  

1.9 The Client represents and warrants that (a) it understands that as principal opposite the Company the parties will each be relying on the creditworthiness of the other, (b) each forex contract will be individually negotiated as to its material economic terms, and (c) the Company is not acting as an investment adviser, commodity trading advisor or fiduciary with respect to the Client or the Account.  

1.10 The Client agrees to indemnify, defend and hold harmless the Company and their respective successors and assigns from and against any liability, loss, cost  or expense (including, without limitation, reasonable legal fees and expenses, costs of collection of debit balances, interest and any fines imposed by any exchange, self-regulatory organization or  governmental body) arising from (a) any failure of the Client to perform its obligations under this  Agreement, (b) any failure of the Client to comply with any rule or law, or (c) any representation or warranty made by the Client in this Agreement or in the forms attached hereto ceasing at any time to be true or accurate.

1.11 The Client has been informed that all conversations regarding Client's Account, orders and forex contracts between the Client and the Company (or any of their respective agents) may be recorded by the Company, without any obligation of the Company to make or retain such recordings, and the Client irrevocably consents to such recordings and to Company’s use of such recordings in any proceeding or as the Company otherwise deems appropriate.    


2.	Services

2.1 The Client authorizes the Company to make transaction for Client's Account in accordance with Client's instructions as said in Terms and Conditions (Appendix 1 to the Client Agreement) with the Company acting as principal (and not as agent), subject to the terms of this Agreement.  

2.2 The Company also will provide such other services and products as agreed upon between the Company and the Client.  

3.	Settlements and Payments  

3.1 The Client agrees to pay the Company upon demand
(a) such charges, fees and costs that the Company may from time to time charge (including but not limited to, markups, spreads, brokerage charges, commissions, service fees, transfer fees and  other charges);   
(b) the amount of any trading losses in the  Account;
(c) any debit balance or deficiency in the Account;
(d) interest on any debit balances or deficiencies in the Account, at the rate set forth in this, together with costs and reasonable  attorneys' fees incurred in collecting any such debit balance or deficiency;
(i) any other amounts owed by the Client Company with respect to the Account or any transactions therein.  

3.2 All such charges shall be paid by the Client as they are incurred and the Client hereby authorizes the Company to withdraw the amount of any such charges directly from Client's Account. The Company may change its commissions, charges, and/or fees without notice. Any payments required to be made by the Client and not deducted directly from the Account shall be made by wire transfer of immediately available funds to the account of the Company as set forth in the Client Application Form accompanying this Agreement.  

3.3 If any trade for Client's Account is settled in a foreign currency than any profit or loss arising as a result of this trader is converted to United States dollar. The risk of changing of currency rate between this foreign currency and United States dollar shall be entirely for the Client.

3.4 All margin deposits required or requested by the Company shall be in United States dollars and the Company is authorized to convert funds in Client's Account into and from such foreign currency at rates of exchange prevailing at the banking and other institutions with which the Company normally does business.  

3.5 The Company shall not be required to pay interest on funds in Client's Account except as may be agreed upon in writing from time to time.

4.	Amendments

4.1. The Company at it`s sole discretion is eligible to amend these Agreement. The Client agrees to accept any amendments as a part of a single agreement between the Client and the Company. All amended terms shall be automatically effective and be deemed accepted by the Client within 24 hours since the notifying the Client by the means specified in  Appendix 1 to the Client Agreement, or at the first transaction or any other use of services provided by the Company is exercised after such amendments were made.


4.2. In the event that the Client objects to any change or amendment, the Client agrees to perform acts specified in Appendix 1 to the Client Agreement.

4.3 The Company reserves the right to change its charges and fees at any time without notice. Future fees and charges may include statement charges, order setting and cancellation charges, account transfer charges, bank or global online money transfer systems charges, telephone order charges or fees imposed by any interbank agency, bank, contract, market or other regulatory or self-regulatory organization arising out of the Company provision of services.

	                           Terms and conditions 
                          (Appendix 1 to Client Agreement)

1. General Conditions

1.1 These Terms and Conditions (hereinafter referred to as the “Rules”) defines the procedure, terms and conditions of services, execution, modification, cancellation of client orders, calculations, claims, and communication with High Street Networking Ltd. (hereinafter referred to as the “Company”) and private customer (hereinafter referred to as the “Client”).

1.2 The definitions of the terms, used in these Rules are listed in 9 section of these Rules.

1.3 TradingDesk Pro application is used as a primary way for the Client to transfer orders to the dealer of the Company. The Rules regulate procedures only for TradingDesk Pro software. If the Client is using other ways of orders transferring (via Web Forex Platform, Mobile Forex or Wap), the Client is to follow instructions in documentation for that specific software for this software. 

2. Client Orders.

2.1 The form of order initiating.

2.1.1 The Client generally follows the standard procedure of initiating order for the Deal electronically or by the phone using the following means: 
(a) TradingDesk Pro application and it`s upgrades with the Client’s username and password;
(b) Web Forex software running in browser at url http://www.forexhsn.com/web-forex-trader-platform.php with the Client’s username and password;
(c) via telephone, dialing to +7 (499) 346-06-78 and specifying number of trading account and special Phone Password.

2.1.2 The other means of ordering initiating, including, but not limited to e-mail, ICQ, Skype messages and other ones not listed above, are not accepted by the Company.

2.2. Deal Price. 

2.2.1 All actions of purchasing of base currency or base asset, regardless the type of order are conducted at Ask price. All actions of selling of the base currency or base asset, regardless the type of order are conducted at Bid price. Closing of long (buy) position (regardless the order type), is considered as selling. Closing of short (sell) position (regardless order type), is considered as buying.

2.3. Order types.

2.3.1 All orders in Company are subdivided into several types: Market Orders, Instant Execution Orders and Pending orders (GTC, Stop Loss, Take Profit).

2.3.2 Market orders (simple orders). The Client makes order for transactions (buying or selling of the base currency or the base asset) using the buttons "buy" or "sell" in the Trading Software.
This order constitutes an offer by the Client to the Company upon the terms and conditions stated herein. If the Dealer agrees with the price then acceptance of order by the Company automatically forms the Transaction between the Client and the Company. This Transaction is recorded in the Company's database. If the Dealer does not agree with the price, than a new price is offered to the Client. The Client has the right to accept an offered price from the dealer within 10 seconds by pressing the button "buy" or "sell", in this case the Transaction is automatically complete. If the Client has not accepted the offered price from the dealer within 10 seconds, then the Transaction is not complete. The Client has a right to follow the same procedure over the phone, in accordance with paragraph 2.1.1 of these Rules. No Transaction exists until the order is accepted by both sides of the deal.

2.3.3 For the correct Market Order initiating the following parameters are required:
(a) instrument name;
(b) amount of the base currency or the base asset;
(c) order’s price.

2.3.4. There can be the following optional parameters in Market Order:
(a) "Open only» option allows opening of a new position, even if the Client has the opposite position within the same instrument;
(b) Price level of Stop Loss order that is attached to the Market Order. “0" price means that Stop Loss order is not placed;
(c) Price level of Take Profit order that is attached to the Market Order. “0" price means that Take Profit order is not placed;
(d) Stop Loss and Take Profit activation option and the price level where Stop Loss and Take Profit orders become active and ready for execution;
(e) "Trailing" Stop Loss order option and value.

2.3.5 Quote orders (Instant Execution Orders). While making Quote order Client requests current prices by specifying instrument and volume and pressing ”Quote” button. The Dealer offers the Client 2 prices for buying and selling base currency or base asset. The Client has the right to accept one of these prices offered by Dealer within 5 seconds, by clicking the corresponding button “Buy” or “Sell”, in this case it will be considered that transaction is executed.

2.3.6. There can be the following optional parameters for initiating Instant Execution Order:
(a) "Open only" option allows opening of a new position, even if the Client has the opposite position within the same instrument;
(b) Price level of Stop Loss order that is attached to the Instant Execution Order. “0" price means that the Stop Loss order is not placed;
(c) Price level of Take Profit order that is attached to the Instant Execution Order. “0" price means that the Take Profit order is not placed;
(d) Stop Loss and Take Profit activation option and the price level where placed Stop Loss and Take Profit orders become active and ready for execution;
(e) "Trailing" Stop Loss order option and value.

2.3.7. GTC (Good Till Cancel) pending orders. The Client has a right to set an offer by placing GTC pending order to buy or to sell the base currency or the base asset at a price that differs from the current market price.

2.3.8 For correct GTC pending order placing the following parameters are required:
(a) instrument name;
(b) amount of the base currency or the base asset;
(c) order’s price.

2.3.9 GTC offer will be accepted by the dealer of the Company if there are no less than 3 market prices in a row which meet the requirements of the offer. There should be 3 Ask market prices in a row that are more or equal to order’s price for buy order and vice versa there should be 3 Bid market prices in a row that are less or equal to order’s price for sell order.

2.3.10 For GTC orders placing there can be the following optional parameters:
(a) "Open only" option allows opening of a new position, even if the Client has the opposite position within the same instrument;
(b) Group of pending GTC order. If there are several orders within the same group, then while one order ends up being executed, the other orders of same group are canceled.
(c) "Trailing" GTC Pending order option and value.
(d) GTC order activation option and the price level where placed GTC order will be activated;
(e) GTC order expiration date and time – moment when order will be automatically canceled and erased from the system if it was not executed due to market situation by dealer prior to the specified time;
(f) Price level of Stop Loss order attached to this GTC order. “0" price means that the Stop Loss order is not placed;
(g) Price level of Take Profit order attached to this GTC order. “0" price means that the Take Profit order is not placed;
(h) "Trailing" option and value for Stop Loss order, attached to this GTC order.

2.3.11 Stop Loss order constitutes an offer by the Client to Company to make an offset transaction that is opposite to certain open Client’s position with the same instrument and equal volume and that closes this position at the price that is different from the current market price.
 
2.3.12 For the correct Stop Loss Order placing the following parameters are required:
(a) number of the open position, to which Stop Loss order is attached;
(c) order’s price;

2.3.13. In addition to obligatory parameters listed in section 2.3.12, there can be the following optional parameters for Stop Loss Order:
(a) Stop Loss and Take Profit orders activation option and the price level where placed Stop Loss and Take Profit orders become active and ready for execution;
(b) "Trailing" Stop Loss order option and value.

2.3.14 Stop Loss offer will be accepted by the dealer of the Company if there are no less than 3 market prices in a row which meet the requirements of the offer.

2.3.15. Take Profit order constitutes an offer by the Client to Company to make an offset transaction that is opposite to certain open Client’s position with the same instrument and equal volume and that closes this position at the price that differs from the current market price.

2.3.16 For the correct Take Profit Order placing the following parameters are required:
(a) number of the open position, to which Take Profit offer is attached;
(b) offer’s price;

2.3.17. There can be the following optional parameters for Take Profit Order:
(a) Stop Loss and Take Profit orders activation option and the price level where placed Stop Loss and Take Profit orders become active and ready for execution;

2.3.18 Take Profit offer will be accepted by the dealer of the Company if there are no less than 3 market prices in a row which meet the requirements of the offer.

2.3.19 The Client can place Stop Loss and Take Profit for the entire position as a whole, that means setting order for all open positions on a particular instrument and trade direction (to buy or sell).
In this case, these orders will act independent from the Stop Loss and Take Profit orders attached to certain open positions.
Since the entire position order is executed, the remaining orders previously attached to single open positions on the specified instrument and side (to buy or to sell) are canceled.

2.3.20 Modifications of optional parameters of pending orders are possible only with specifying obligatory parameters and the number of pending order.

2.3.21 Cancellation of pending orders is possible only with specifying number of pending order.

2.3.22 Offer assigned by the Client for any type of order will be denied in case of wrong input of any obligatory parameters or their absence. In this situation the trading platforms informs the Client by displaying "invalid asset" or other message, clearly and unambiguously indicating that the offer is not accepted.

2.3.23 Each order gets the unique individual number given by the dealer, regardless of the fact whether it was complete/executed or denied by one of the parties.

2.3.24 Each open position gets its unique individual number given by the dealer.

2.3.25 Each closed position gets its unique individual number given by the dealer.

2.3.26 The list of pending orders, opened and closed positions are available to the Clients in the corresponding tables of Trading Software.

2.4. Restrictions for placing orders.

2.4.1. Pending orders cannot be placed, modified or canceled if they are closer than 10 points to the current market price. The Company reserves the right to ease this restriction to the without any notifications.

2.4.2 The Client agrees that when Stop Loss and Take Profit orders are attached to the position opened by GTC pending order the rule of paragraph 2.4.1. should be applicable at the time of GTC pending order execution.

2.4.3 The Client has the right to place, modify or cancel the orders only during the period when the trade on this instrument is allowed by the Company. The trading hours are stated in paragraph 4.5 of the Rules, unless otherwise stated in trading instrument specifications.

2.5. Dealer`s rights.

2.5.1 The Client agrees that all issues related to the current market price level are in the sole competence of the dealer of the Company.

2.5.2 The Client agrees that the dealer can deny the Client`s order for the execution in the following cases: 
(a) at the market opening , if the Client sends an order before trading software gets the first market price;
(b) if the amount of Instant Execution Orders exceeds 10 times the number of complete transactions in a trading day;
(c) in case the dealer sees the opportunity to suggest the better price, which is more profitable for the Client compared to that is offered by the Client;
(d) in case there is not enough margin to open a position of the required volume;
(e) under market conditions different from the normal market conditions.


2.5.3. In case the current market conditions different from the normal, including but not limited to price gap pending orders can be executed at the current market price, that is different from price specified in the order. 

2.5.4 The dealer has the right to close all Client open positions without any prior notifications if the level of free margin at Client account is equal or lower than the required free margin requirements for opened positions listed in paragraph “Instruments Specifications” of the Rules.

2.5.5 The dealer guarantees that in case of using the right referred to in paragraph 2.5.4, the sum on the Client’s account will not be greater than open position margin requirements listed in paragraph “Instruments Specifications” of the Rules and will not lead to negative balance in the Client`s trading account. If Client`s positions were closed under right referred to in paragraph 2.5.4 and its resulted in negative trading account balance, the Company using its own means compensates the sum bringing the account balance to zero.

2.5.6 The dealer reserves the right, in its sole discretion to remedy the consequences of his manifest error by changing the price of the erroneously executed order, or by canceling the specified order.

2.5.7. Multiple orders at the same price placed by the Client can be executed by dealer in any order at his own discretion.

3. Communication

3.1 The Company generally uses the following means of communication:
(a) via internal messages of TradingDesk Pro application;
(b) via e-mail;
(c)-via phone/fax;
(d) announcements on Company site in company news section or http://www.forexhsn.com/newsarchive.php?type=2 ;

3.2. All notices, including but not limited to documentation, announcements, ads, notifications, annunciations, confirmations, adjustment statements, revisions, reports will be deemed to have been duly sent and actually receipt by the Client:
(a) one hour after sending to Client`s e-mail;
(b) immediately after sending via internal messages of TradingDesk Pro trading software;
(c) immediately after posted on Company site in company news section or http://www.forexhsn.com/newsarchive.php?type=2 ;
(d) thirty minutes after sending fax message;
(e) immediately after the telephone conversation.

4. Trading conditions. 

4.1 The minimum trading lot in the system equals to 10 000 units of the base currency except when specified in paragraph 10.

4.2 Minimum margin requirements for 1 minimum lot are 50 us dollars except when specified in paragraph 10.

4.3 The Company charges swap to account for carrying over every opened position to next trading day. The amount of swap is specified in swap table at http://www.forexhsn.com/miniforexaccount.php

4.4 The Company charges swap without prior notification at 19:59-20:05 GMT. 

4.5 All trading transactions are possible 24 hours a day, from Sunday 23:00 GMT till Friday 21.00 GMT., except for weekends and public holidays posted 3 day prior to the event on the website in news section http://www.forexhsn.com/newsarchive.php?type=2 ;

4.6 The minimum and maximum spread and instrument names are listed in specification of trading instruments in paragraph 10.

4.7 Under the normal market conditions the Company keeps the fixed spread that is listed in specification of trading instruments in paragraph 10.

4.8 Spread can be increased:
(a) under market conditions different from the normal market conditions;
(b) if the amount of the instant execution orders exceeds 10 times the number of complete transactions in a trading day;
(c) 3 business days after the notification.

4.9 Spread can be decreased without giving prior notice.

5. Payment procedures.

5.1 Crediting trading account

5.1.1 The Client can credit its trading account through the following payment systems:
(a) wire transfer to the account details specified at web site http://www.forexhsn.com/payment.php ;
(b) credit card payment via Trader’s Zone at web site http://www.forexhsn.com/payment.php ;
(d) other types of money transfer agreed with the Dealer or the Accountant of the Company.

5.1.2 Before transferring any money to Trading Account the Client should make preliminary request for deposit in his trading software.

5.1.3 Credit period to the trading account is usually:
(a) 1-5 business days after beginning of wire transfer;
(b) several minutes after credit card payment;
(c) several minutes after Wmtransfer system automatic payment;
(d) not later than first business day after making Wmtransfer non-automatic payment.

5.1.4 The minimum initial deposit to begin trade after registration is 100 US dollars. 
The Company shall be entitled to abstain from performance of any or all operations or actions, including transfer of funds and making transactions if there was no initial minimum deposit on the trading account. Further money transfers to account can be of any volume.

5.1.5 The Company reserves the right at its sole discretion to credit bonus funds to the Client's trading account. Bonus funds may be used by the Client as margin collateral for opened positions. The Client has no right to withdraw bonus funds from the account. Bonus funds do not belong to the Client and cannot be subjected to section 5.2 of the Rules.

5.2 Funds Withdrawal by the Client

5.2.1 To withdraw funds from the account the Client should make credit request from Trading software or via trader’s zone of web site www.forexhsn.com.

5.2.2 The removal of funds from the Client’s account is accomplished immediately after Client’s withdrawal request according the paragraph 5.2.1.

5.2.3 The funds would be transferred by the Company to the Client onto the account details within 24 hours from the moment of request according to paragraph 5.2.1 or usually within the next business day after the day request has been sent if the Client specified bank account, credit card or Wmtransfer purse in his trading account details. If a wire transfer or check disbursement request is received after the relevant cutoff time (14:00 GMT), the request may be treated as if it were received the next business day.

5.2.4 Company is not responsible for the delays in transactions and funds withdrawals stated in paragraph 5.2.3 if the Client account details are incomplete or misleading. If the Company has not received the Client detailed settlement of payment instructions before any payments to the Client, such payments in accordance with clause 5.2.3 may not be proceeded. The Company will do its best to notify the Client via e-mail or electronically via internal messages of TradingDesk Pro trading software about this issue.

5.2.5 The Company reserves the right to cancel the funds withdrawal request and to return funds back to the trading account if there occur any erroneous, mismatched or incomplete information on account details.

5.2.6 If any payment is not received within 10 days since the date of withdrawal, the Client is obliged to accurately verify his bank account details (or details in related payment system), make a bank (or global online money transfer systems) inquiry on the transfer and promptly notify the Company.

5.3 Account details changing
5.3.1 In case of any changes in details or there is lack of any the Client agrees to immediately notify the Company by writing to the company support team at dealer@forexhsn.com. The mail should contain new account details together with the Client passport details/copy of the passport and should be sent from the e-mail address specified during the registration of trading account.

5.3.2 Client should use only one bank account or payment system. For security purpose and as required by anti money-laundering regulations, the Company is entitled to impose specific limits and restrictions or deny the request for withdrawal the funds using the different bank account or payment system from the bank account or payment system the Client used for deposit funds.

5.3.3 No instructions to pay a third party from the Client will be accepted by the Company unless otherwise agreed in writing.

5.3.4. The Company reserves the right for additional verification of the Client account details in case changing in the Client account details from the previously indicated. The Company reserves the right to require any additional information on the new account details given by the Client.

5.3.5 The Company is entitled to deny small amount funds withdrawal requests (less than 100 US Dollars for bank account or less than 50 US dollars for internet payment vendors and global online money transfer systems) or frequent requests to withdraw small amounts during the short period of time.

5.4. All transactions between the Client and the Company in accordance with these Rules are calculated in US dollars (or any other currency as the Company selects in good faith). All payments from the trading account will be made in US dollars.

6. Complaint handling procedures

6.1. The Client has the right to lodge a Complaint with the Company (hereinafter referred to as the “Complaints” in this paragraph) within 2 (two) business days of the grievance arising when the Client reasonably believes that the Company as a result of any action or failure to act breaches one or more terms of these Rules. 

6.2. Any Complaints sent after the specified period can be rejected by the Company. 

6.3. In case the Client gives the instructions, orders or the requests by telephone, the correct phone-password and the trading account number are required.

6.4 A Complaint request should include:
(a) the Client first name and family name;
(b) trading account number;
(c) the date and exact time the issue arose;
(d) unique numbers of the opened, closed positions, orders relevant to the issue;
(e) the Client description of the issue;
(f) acceptable variant of complaint settlement in the favor of the Client.

6.5 The Company shall have the right to refuse a complaint if obscenities or offensive language directed to the Company, its agents or employees are used.

6.6 If the dealer representing the Company considers the complaint to be unreasoned such claims will not be accepted. The Company may suggest it`s own way to settle the complaint; in this case the complaint is resolved by way of negotiations between the Parties.

6.7. If the Client lodges the complaint concerning the execution of the pending order and reasonably considers that the level of executed pending order was off-market, the Client can bring the argument of other reliable sources of quotes flow (but no less than three sources). In this situation the decisions upon the issue are made in each individual case. If complaint is recognized by the Company as reasonable the Company reserves the right to settle the complaint in accordance with the common market practice and at it`s sole discretion.

6.8. The Company may settle the complaint in either or both in two forms:
(a) by crediting or debiting the Client Trading Account;
(b) by reopening erroneously closed positions or by adjusting the price of closed positions, deleting erroneously opened positions or adjusting the price of open positions, canceling or adjusting the price of executed client orders.

6.9 The Company has the right to select the method of complaint settlement, although the Client`s suggestions are taken into consideration as well.

6.10 The Company database is the most reliable source of information and has the absolute priority over other arguments in a case of any dispute or complaint.

6.11 The final decision is taken by the dealer of the Company on basis of the common market practice and reflects what the dealer and the Company in the sole and absolute discretion consider to be the correct or fair terms.

6.12 The Company is not responsible for any loss of expected profit as any of the positions has not been opened or closed at a definite level or definite time.

7. Changes and Amendments

7.1. The Company at it`s sole discretion is eligible to amend these Rules. The Client agrees to accept any amendments as a part of a single agreement between the Client and the Company. All amended terms shall be automatically effective and be deemed accepted by the Client within 24 hours since their initial posting on the Web site of the Company (or sending a notification to the Client by e-mail), or at the first transaction or any other use of services provided by the Company is exercised after such amendments were made.

7.2. In the event that Client objects to any change or amendment, Client agrees to close Client’s open positions to inform the Company in writing by sending the letter from the e-mail address noted during the prior registration and to send a request for the withdrawal of the funds from the trading account within 1 (one) business day after notice of the amendment or change has been posted on the Company’s Website or otherwise notified the Client in accordance with these Rules.


7.3. The Company generally uses the following means to notify the Client on amendments to the Rules and the Agreement:
(a) via e-mail;
(b) via internal messages of TradingDesk Pro trading software; 
(c) ads on the Company site in company news section or http://www.forexhsn.com/newsarchive.php?type=2 ;
(d) via phone/fax;
(e) by post.
 
7.4 The Company reserves the right to change its charges and fees at any time without notice. Future fees and charges may include statement charges, order setting and cancellation charges, account transfer charges, bank or other global online money transfer systems charges, telephone order charges or fees imposed by any interbank agency, bank, contract, market or other regulatory or self-regulatory organization arising out of the Company provision of services.

8. Notification

8.2 The Client understands and agrees that all telephone conversations with the Client or the Client`s authorized personnel are recorded for the purposes of fraud prevention and quality control. Such records will be the Company`s sole property, they can be used in order to resolve a complaint and are accepted by the Client as evidence of orders placed or other given relating financial instructions.

8.2. The Client understands and agrees that all electronic communications (including telephone calls, e-mails and messages) with the Client can be used by the Company as assistance to help resolve complaints, including but not limited by posts in Internet. Recorded and registered information is strictly confidential, except for the Client`s e-mail address.

8.3. The Client guarantees that all the details supplied by the Client during account registration as well as any other information which is provided or have been provided by the Client to the Company is accurate, complete and not misleading. The Company is entitled to rely on such information and the Client agrees to immediately notify the Company in writing by e-mail of any change in the trading account contact details or bank details. Fail to render such notification on time can lead to the Client`s losses solely due to the Client`s fault. The Client shall be liable for all loss that may arise during the payment transactions if the Client financial account or contact details or other matters become inaccurate, incomplete and misleading. No complaints on financial losses are accepted if the Client failed to render such information or any changes by notifying the Company on time.

8.4. The Client consents to the Company that the dealer of Company may, in his reasonable opinion, accept any GTC pending offer, Stop Loss and Take Profit pending order if there are more than 3 market prices or less than 3 market prices (but no less than 1 market price) which meet the requirements of the Client offer.

8.5. The Client agrees that the Company is not be liable to the Client in any way for any loss arising directly or indirectly in the event of failures or delays arising from the factors beyond the Company`s control including, but not limited to failure or delay in orders transaction, giving instructions or any requests via Internet or by phone, or of damage to the Client computer systems, data or records or any part thereof, or for delays, losses, errors or omissions resulting from the failure or mismanagement of any telecommunications or computer equipment or software, network problems occurred by network, telecommunication or service providers or electrical supply network.

9. Terminology.

9.1 Abnormal market conditions are the current market conditions that differ from the normal market conditions, including but not limited to the following conditions:
(a) price gaps as the result of news release, earnings announcements, buying and selling pressure or at open and closing where no trade has taken place;
(b) fast market, as resulted from rapid movements on the market during the short run and generally causing price gaps and occur at the period of such important events as release of essential economic data and indicators, central banks decisions on interest rates; press conferences and speeches of lawmakers, other significant announcements having a great impact on the financial markets, any risk of intervention or any central bank intervention, acts of terror, natural calamities, wars or military actions, political force majeure.
(c) thin market is seen in the Trading Platform when the quotes are received less often as compared to the normal market conditions. Such periods are typical for national holidays in the countries of issue of the major currencies.

9.2 Accountant means an individual person that was appointed and authorized by the Company for crediting the account and removal of funds for performing other accounting functions and for representing interests of the Company as stated in related documents.

9.3 Account payment details of the Client mean sufficient and complete information on the Client account payment details relevant to the corresponding bank and global online money transfer systems demands that allow the transfer of funds to the Client.

9.4 Adjustment of transaction means modifications of any parameters of transactions, cancellation of transactions, recovery of transactions, making new transactions in the Company database as an action on the Client complaint.

9.5 Ask means price for buying base forex currency (first in currency pair) against the counter or quote currency (second in currency pair) by the Client.

9.6 Available funds shall mean amount of money in the Client account tacking into consideration opened and closed positions and the necessary charges. 

9.7 Base Currency means the first currency of a currency pair. All transactions in the system are executed in relation to base currency, the price of which is compared to the value of the second currency (quote currency), showing how much of the quote currency is needed to purchase one unit of the base currency.
For accounting purposes, the quote currency is used to represent all profits and losses of the Client, and in case it does not coincides with the USD all balances, commission fees and charges relating to the account are converted to US dollars.

9.8 Bid means price for selling base forex currency (first in currency pair) against the counter or quote currency (second in currency pair) by the Client.

9.9 Client means an individual person who registered a trading account and fully accepted Agreement and these Rules.

9.10 Closed position is a result of executing of the Client instructions by the Dealer to make a deal with the same amount of base currency or base asset that is offset against previously opened position. After the closing position is cash-settled, it means that the Client and the dealer of the Company exchanged the difference in the associated cash positions. The cash position is the difference between the price of opening position and price of closing position. Profit or loss from closed position is paid into or taken out of the trading account. No actual physical delivery of any bought or sold currency or underlying asset is proceeded after the position has been closed.
Instructions to close a position are deemed executed and the Client position is deemed closed after the relevant record appears in the Company database. Each closed position is assigned a unique number that differs from the number of the open position.

9.11 Commission shall mean any charges, commissions and fees paid by the Client for opening positions.

9.12 Company - High Street Networking Ltd.

9.14 Complaint issue – the situation of grievance arising when the Client lodges a Complaint as reasonably believes that the Company as a result of any action or failure to act breaches one or more terms of these Rules.

9.15 Conflict of interest. High Street Networking is a broker-dealer company. Depending on the transaction High Street Networking is an agent who executes orders on behalf of the clients and acts as a principal and trades for the company’s own account. The major source of earnings of the Company is the spread between Bid and Ask prices. Company and its Trading Desk Pro trading software maintains neutrality regarding the direction of any or all deals made by the Clients, as it earns from the spread.

9.16 Current market prices are indicative prices (Bid and Ask) given to the Client by the Company at the current moment in the trading software. 

9.15 Dealer means a legal entity or individual person that was specifically appointed and authorized by the Company to make transactions with query processing and Client orders, fulfilling orders, stop out and margin calls and to represent the Company as stated in the Rules and other related documents.

9.16 Entire position is a total aggregated amount of Client positions on the specified instrument to buy or to sell.

9.17 Financial instrument mean any currency pair or base assets, including securities, commodities that are displayed in Trading Platform.

9.18 Force Majeure means any circumstances such as: 
(a) natural disasters or other “Acts of God” which cause the announcement of the state of emergency (or other restrictive measures) on the affected territories;
(b) wildfire or fire hazard;
(c) transportation or large-scale accident, disastrous accident;
(d) strikes or uprisings;
(e) acts of state or political force majeure;
(f) abnormal bank functioning or temporal dislocation of national economies;
(g) terror attacks within the territory these Rules are applicable;
(h) war or any other military actions within the territory these Rules are applicable;
(i) any unlawful acts against or damage or destruction of computer systems, data or records or any part of thereof, or any telecommunication or software failure;
(j) any other similar events.

9.19 Forex Web Trader is an online trading platform running in browser at the following address: http://www.forexhsn.com/webforextrader/

9.20 Funding of the account is a procedure of transferring money to the Client trading account in the Company. 

9.21 Funds withdrawal is a procedure of funds removal from the Client trading account initiated after the Client’s withdrawal request. 

9.22 GTC order (or pending order) is a request (offer by the Client to Company) to buy or to sell base currency or base asset at a set price that differs from the current market price. Order is executed once the market price reaches the Client set price in accordance with the Rules. Such order is active until executed or cancelled by the Client. Execution of any GTC pending order can lead to position opening or to closure of the existed ones.

9.23 Holidays means Saturday, Sunday, as well as forex market holidays. The latest forex market holidays the Client can find in our website: http://www.forexhsn.com/analitics.php

9.24 Incomplete or misleading account details means any erroneous, mismatched or incomplete information on the Client account details that do not allow the transfer of funds to the Client.

9.25 Login (username) is a unique sequence of characters used to identify Client allowing an access to the services in the Trading Platform.

9.26 Manifest error means an obvious mistake of the dealer of the Company at opening or closing of a position as a result of a clear misquote between the official price source on which the Company have relied or any other mistake of the dealer related to the market conditions and average market prices for a specified instrument at the time an order was executed by the dealer of the Company. 

9.27 Market order means an offer by the Client to the Company to buy or to sell specified base currency or a base asset at a definite volume at the current market price. Order is executed upon the terms and conditions stated herein.

9.28 Minimal lot means minimum amount of the order made in base currency or base asset used in the system.

9.29 Offer price is a price of a request suggested by the Client to the Company to buy or to sell base currency or base asset (when placing market orders, GTC, Stop Loss, Limit-Profit), as well as a price of an instrument in a request suggested by the dealer of the Company to the Client (for instant execution orders).

9.30 Offset transaction means any transaction that neutralizes opened position and entails termination of the rights and obligations concerning previously opened positions due to initiation of the opposite transaction on the same instrument as the previously opened position. Offset eliminates the delivery obligation and creates cash settlement obligation.

9.31 Open Position means status after any transaction on base currency or base asset which has not been settled by physical payment and further is to be closed with an offset transaction. Any open position exists as a possession after the Client buying (long) position, or a debt to the Company by selling (short) position. Both, the possessory right of the Client and debt to the Company are considered to be the right and obligation of the Client to buy or to sell to the dealer previously opened positions of the specified amount of the base currency or the base asset at current market prices. No actual physical delivery of any bought or sold currency or underlying asset is proceeded after the position has been opened. The Client gains profit from the difference between the specified instrument prices at the moments of opening and closing position, or sustain losses from the spread between Bid and Ask prices on of the specified instrument, which the Client is obliged to redeem from the personal funds.

9.32 Order means an offer by the Client to the Company to buy or to sell a specified base currency or a base asset at a definite volume and price with different optional parameters. Orders can be of different types:
(a) market order or instant execution order if price is equal to the current market price;
(b) GTC pending order and Stop Loss /Take Profit orders if price differs from the current market price.
Order is executed upon the terms and conditions stated herein. If the dealer agrees with the price then the acceptance of the order by the Company automatically forms the transaction between the Client and the Company. Order can be executed only once, after which it is deleted.

9.33. Password is a memorable string of characters that is used for Client authentication.

9.34 Payment options. The Company supports deposits in US Dollars only and accepts different payment options including:
(a) bank wire transfers,
(b) credit/debit cards,
(c) global electronic payment systems

9.35 Price Gap means situation when:
(a) Bid of the following quote is higher than Ask of the previous quote;
(b) Ask of the following quote is lower than Bid of the previous quote.

9.36 Prices which meet the requirements of the offer mean market prices that meet the following criteria:
(a) Bid prices that are lower or equal to order’s price for sell GTC pending orders and for Stop Loss / Take Profit orders attached to buy position;
(b) Ask prices that are higher or equal to order’s price for buy GTC pending orders and for Stop Loss / Take Profit orders attached to sell position.

9.37 Phone password is a memorable string of characters that is used for Client authentication over the phone allowing access to the Trading Platform, providing instructions and conducting trading operations in the Trading Platform.

9.38 Quote means an indicative price (both Bid and Ask) of any currency pair to buy and to sell. 
Bid and Ask prices in Quote are neither firm nor binding.

9.39 Quote Instant Execution order is a special type of order when Client first requests for current Bid and Ask prices for specified instrument and volume without any instructions to buy or to sell.
The Dealer offers the Client 2 prices for buying and selling instrument and volume specified in Client request. The Client has the right to accept one of the prices offered by Dealer within 5 seconds, by clicking the corresponding button “Buy” or “Sell”, in this case it will be considered that the transaction is executed.

9.40 Spread is a difference between Bid price for buying any base currency or base asset and the Ask price at which this base currency or base asset is to be sold. 

9.41 Stop Loss order is a request (offer by the Client to Company) attached to a definite opened position or to the whole position on a certain instrument to buy or to sell that closes the Client position once the market price reaches a certain level set by the Client in accordance with the Rules.

9.42 Swap means a payment arising from open positions left overnight, according to swap table by the Company, calculated by the Company and paid/received by the Client, and stated in opened position, closed position or account status table. 

9.43 Take Profit order is a request (offer by the Client to Company) attached to a definite opened position or to the whole position on a certain instrument to buy or to sell that closes the Client position once the market price reaches a certain level set by the Client in accordance with the Rules.

9.44 Trading Account is a digital identifier that consists of 6 numeric characters that is used to identify the Client in the Trading Platform. Trading Account can be registered either through the trading software or via the Company website at www.forexhsn.com. The Currency of Trading Account is U.S. dollar or its equivalents in accordance to these Rules.

9.45 Trading Platform means the High Street Networking online trading system or Trading Desk Pro application or any other electronic trading system through which a client may electronically send to the Company information including prices, bids, offers and executions.

9.46 Trading Software is TradingDesk Pro application and its further modifications or Web Forex or Mobile Forex software and the further modifications.

9.47 Trailing is a special property of pending order which consists of special calculation formula for Client offer price. The price is calculated as follows:
(a) for Buy GTC pending order with trailing property the Client offer price will move down with current market prices above and at a distance (from Ask price) specified by the Client in the trailing parameter while current market prices will fall. Constant or rising market prices do not change price of offer of Buy GTC pending order with trailing property.
(b) for Sell GTC pending order with trailing property the price of Client offer will move up with current market prices below and at a distance (from Bid price) specified by the client in the trailing parameter while current market prices will rise. Constant or falling market prices do not change price of offer of Sell GTC pending order with trailing property.
(c) for Stop Loss pending order with trailing property that is attached to Buy open position and is opposite to it the price of the Client offer will move up with current market prices below and at a distance (from bid price) specified by the Client in the trailing parameter while current market prices will rise. Constant or falling market prices do not change price of offer of Stop Loss pending order with trailing property that is attached to buy open position.
(d) for Stop Loss pending order with trailing property that is attached to sell open position and is opposite to it the price of Client offer will move down with current market prices above and at a distance (from ask price) specified by the client in the trailing parameter while current market prices will fall. Constant or rising market prices do not change price of offer of Stop Loss pending order with trailing property that is attached to Sell open position.
Trailing property is set in Trading Software in accordance with the reference materials for this software, found on the Company site. 
Trailing property is displayed in Trading Software in the appropriate tables as "T" and the current value of the offer price. E.g. "T1.0962", where T means trailing properties, and 1.0962 - the current value of the offer price.
Information on all orders, including orders with trailing property is stored in Trading Platform on a company server, so the client does not necessarily keep a Trading Software online to execute his offers with trailing properties.

9.48 Transaction means any deal between the Client and the Company when both Parties undertake to fulfill their obligations for the purchasing by one party of an agreed amount in one currency against the sale by it to the other of an agreed amount in another currency, both such amounts being cash-settled in a single Currency, which is subject to the Agreement and in respect of which transaction the Parties have agreed. Each Transaction leads to opening of the new position or to closing of the existing position or its part.

9.49 Underlying asset is the financial instrument (index, commodity, futures, etc.) on which a derivative's price is based.

1.	The Client acknowledges that trading in forex contracts is a speculative activity involving leverage and rapidly fluctuating markets.  Despite such risks, the Client is willing and able to assume the financial risks and other hazards of trading in forex contracts. The Client recognizes that guarantees of profit or freedom from loss are impossible in forex contract trading.  The Client acknowledges that customer has received no such guarantees from the Company or from any of its representatives or any introducing broker or trading advisor and has not entered into this agreement in consideration of or in reliance upon any such guarantees or similar representations.  

2.	All transactions effected for Client's Account and all fluctuations in the market prices of the forex contracts foreign currency contracts carried in Client's Account are at Client's risk, and the Client shall be solely liable therefore under all circumstances.  

3.	The Client represents and warrants that the Client is willing and financially able to sustain such losses, and that the trading of foreign currency contracts is suitable for the Client.  The Company is not responsible for the performance or non-performance by any third party (including other dealers or banks) to the Company of its obligations in respect of any forex contract or other property of the Client; or for delays in the transmission, delivery or execution of Client's orders due to malfunctions of communications facilities or systems or other causes beyond the Company reasonable control or anticipation.  The Company shall not be responsible for the actions or non-actions of agents selected by the Company in good faith or appointed at the request of the Client, whether such  action and/or non-action amounts to negligence or inability on the part of the relevant agent.   

4.	The Client has read, understood and agreed this forex transactions risk disclosure statement.

	                           Limitation of liability
	                    (Appendix 3 to the Client Agreement)


1.	The Client  understands that the use of Trading Platform entails risks, including, but not limited to, interruption  of service, system or communications failure, delays in service, and errors in the design or functioning of such Automated Systems (collectively, a "System Failure") that could cause substantial damage, expense or liability to the Client.  

2.	The Company makes no representation or warranty of any kind, express or implied, with respect to the selection, design, functionality, operation, title or non-infringement of any automated system, and makes no express or implied warranty of merchantability or fitness for a particular purpose, title and/or non-infringement, and specifically disclaims any implied warranty with respect thereto. Without limiting the foregoing, the Company expressly disclaims any representation that any automated system will operate uninterrupted or be error-free.

3.	In addition to the limitation of liability, the Company will have no liability whatsoever for any claim of loss, cost, expense, damage or liability of the Client or any third person arising out of or relating to any System Failure, regardless of whether  such claim is based on contract, tort, strict liability or any other theory.  The Company will not have any liability for the actual or alleged insufficient exercise of care in selecting any sub-agents or in selecting, monitoring or operating any Automated System, for any failure or delay in informing the Client of any System Failure or in taking action to prevent or correct any such System Failure.  In no event will the Company have any liability for any incidental, special or consequential  damages, including, but not limited to, loss of profits or loss of use, even if the Company was aware of  the likelihood of such damages.  

4.	The Company has no responsibility to inform the Client of (i) any decision to use, not use or cease using any Automated System, (ii) characteristics, functions, design or purpose of any Automated System, or (iii) any specific risks inherent in any Automated   System.

5.	The Client understands that the Company has no responsibility for providing the Client with tax advice and that the Company makes no representations or warranties regarding the tax consequences to the Client of carrying out this agreement.

6.	The Company makes available to the Client, by posting on the Trading Platform bid and ask prices at which the Company is prepared to enter into forex contracts with the Client. The Company expects that these prices will be reasonably related to the bid and ask prices available in the market at that time for similar transactions, but a number of factors, including but not limited to, communication system delays, high volume or volatility can result in deviations between prices quoted by the Company and other sources.  The Company makes no warranty, express or implied, that bid and ask prices represent bid and ask prices then prevailing in the market.

7.	Any trading recommendation or market information furnished to the Client by the Company is incidental to the conduct of Company’s business as a forex dealer and shall not serve as a basis for Client's trading decisions.  The Client acknowledges that any recommendations or market information provided by the Company, while based upon information from sources that the Company believes to be reliable, may be incomplete, inaccurate or unverified and the Company makes no representation, warranty or guarantee as to the accuracy of any such information.   Further, the Client acknowledges that recommendations or market information given to the Client at any given time may be different from recommendations or market information given to other customers of the Company and that such recommendations or market information may not be consistent with the investments of the Company.  The Company shall have no responsibility or liability hereunder as a result of any information, prediction, recommendation or advice made or given by a representative of the Company whether or not made or given at the request of the Client.  Any instruction given by the Client is based upon Client's own independent and informed decision and not in reliance on any information, recommendations, advice or statement made by any of Company's employees, representatives or agents.
